Operator Terms of Service
Effective date: October 6, 2026
FlowMoose, Inc. ("FlowMoose," "we," "us," or "our") provides a platform that lets businesses sell prepaid sessions that customers buy or gift, book into scheduled time slots, and redeem at the business's facilities. These Operator Terms of Service (the "Terms") are a binding agreement between FlowMoose and the business that registers for or uses a FlowMoose operator account ("Operator," "you," or "your"). They govern your access to and use of the operator dashboard at admin.flowmoose.com, the front desk tools, our API at api.flowmoose.com, the customer-facing booking and gift surfaces we run for your business at flowmoose.com and the versions of them we give you to embed on your own website, and the other FlowMoose services we make available to Operators (together, the "Services").
Your customers' use of FlowMoose is governed by our Consumer Terms of Service, and our handling of personal information is described in our Privacy Policy.
By creating an operator account, clicking to accept these Terms, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Acceptance and eligibility
To use the Services as an Operator, you must be a business (or an individual operating a business) and at least 18 years old and able to form a binding contract. If you accept these Terms on behalf of a company or other entity, you represent that you are authorized to bind that entity, and "Operator" refers to that entity.
The Services are offered in the United States, and your Stripe account must be U.S.-based. You are responsible for using the Services in compliance with all laws that apply to you.
2. Definitions
- Customer — a person who buys, gifts, books, redeems, or uses sessions through FlowMoose.
- Session — a unit of prepaid access or a pass that you sell and a Customer redeems at your facility.
- Session bundle — a quantity of sessions offered at a set price.
- Schedule — the bookable times you publish for one of your products, and "Slot" — a single bookable time on a schedule, with a capacity you set.
- Booking — a Customer's reservation of one or more spots on a slot, each spot committing one of that Customer's sessions.
- FlowCode — a code a Customer redeems in the FlowMoose app: a gift code created by a gift purchase, a return code issued when a guest's booking releases sessions the guest already paid for, or a complimentary code you issue from the dashboard at no charge. Whoever holds the code can redeem it.
- Facility — a physical location you operate where sessions are redeemed.
- Stripe — Stripe, Inc., our payments partner, and "Connected Account" — the Stripe account you create to accept payments and receive payouts.
- Platform Fee — the fee FlowMoose charges per transaction, described in Section 5.
3. The platform, accounts, and roles
Subject to these Terms, FlowMoose grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services to set up and run your business — creating facilities and products, publishing schedules and taking bookings, selling sessions, issuing complimentary codes, managing your team, and viewing analytics, bookings, and unlock activity — including the right to embed the booking and gift surfaces we provide on your own website.
You may invite team members and assign roles (owner and admin), each with different permissions. A role may cover your whole business or be scoped to a single location, and only an owner may grant or revoke roles or connect your Stripe account. You may also register front-desk devices for your facilities. You are responsible for:
- assigning roles appropriately and for everything your team members do under your account;
- keeping your sign-in credentials (including passkeys) secure, and controlling access to your dashboard and to any front-desk devices you register (including removing devices you no longer control); and
- promptly notifying us at legal@flowmoose.com of any unauthorized use.
Front-desk devices. An owner or admin registers a front-desk device with a one-time code, after which the device holds a key of its own rather than a person's sign-in — anyone who can use the device can see what it shows. A registered device shows that location's slots, its unlock activity, and the roster for each slot — including Customers' names and email addresses before they check in — and it can mark Customers as attended. A device stays registered until you revoke it or it goes unused for 90 days. Keeping your devices physically secure and revoking devices you no longer control are your responsibility.
Audit log. Actions your team takes in the dashboard are recorded in your business's audit log, which identifies the acting team member by email address. We keep those records as described in our Privacy Policy.
One person or entity may operate more than one business on FlowMoose — currently up to 25. Each business is responsible for its own compliance with these Terms.
4. Your content and customer data
Your content. You are responsible for the business name, logo, descriptions, facility details, pricing, and other content you provide ("Operator Content"). You grant FlowMoose a non-exclusive, worldwide, royalty-free license to host, store, display, and use Operator Content to operate, provide, and promote the Services. You represent that you own or have the rights to your Operator Content and that it is accurate, lawful, and does not infringe anyone's rights.
Customer data — independent controllers. FlowMoose collects and controls Customer personal information as described in our Privacy Policy. Through the Services you receive information about Customers who transact, book, or unlock at your facilities — for example a Customer's name and email address, their bookings and party size, their check-in marks, how many sessions they have left for your products, their unlock history at your facilities, and who redeemed a complimentary code you issued. With respect to that information, you and FlowMoose act as independent controllers, not as one another's processor. You agree to:
- use Customer information only to provide and support your services to those Customers;
- protect it with appropriate administrative and technical safeguards;
- comply with all applicable privacy, data-protection, and marketing laws (including, where applicable, CAN-SPAM, the TCPA, and state privacy laws) when you contact Customers, and honor their privacy requests;
- maintain your own privacy policy covering your use of the data; and
- not sell Customer information or use it for cross-context behavioral advertising.
Email campaigns. You can send email campaigns through FlowMoose to the Customers who hold bookings on your schedules, and a campaign may carry schedule news as well as offers. You are the sender: the subject and the body are yours, and their content and lawfulness are your responsibility. FlowMoose sends the mail for you from its own verified address — it goes out as your business name followed by "via FlowMoose," not from your domain — and adds a fixed footer you cannot edit or remove, naming your business and its location, saying why the recipient is getting the message, and carrying an unsubscribe link. Campaign recipients are resolved when the campaign sends, from the bookings that are active on the dates you chose.
Unsubscribes and suppressions. There is no marketing consent checkbox anywhere in FlowMoose: the unsubscribe link is the control. Unsubscribing applies to that email address across every business on FlowMoose, and bounces and spam complaints suppress an address the same way. We honor those suppressions on every campaign, and you may not remove, obscure, or work around the footer, the unsubscribe link, or a suppression — including by mailing a suppressed address by other means. Transactional email — sign-in codes, booking confirmations and changes, cancellations, gift deliveries, and receipts — is separate, carries no unsubscribe link, and is sent regardless.
5. Payments, fees, and Stripe Connect
Stripe. Payments are processed through Stripe. You must create and maintain a Stripe Connected Account and agree to the Stripe Connected Account Agreement and Stripe's other terms. Stripe collects and verifies your identity and payout details (KYC) through its hosted onboarding; FlowMoose does not collect your bank or government-ID information.
Direct charges; you are the merchant of record. Charges are created directly on your Connected Account. You are the seller and merchant of record for every session sold, and your business name generally appears on the Customer's statement. FlowMoose is not the seller and is not a party to the sale between you and your Customers.
Fees. FlowMoose's Platform Fee is currently 1% of each transaction, calculated on the pre-tax subtotal and collected as a Stripe application fee. Stripe charges its own processing fees, which Stripe sets. Your cost on a sale is Stripe's processing fee plus FlowMoose's 1%; both are deducted from your transaction proceeds, and you, not FlowMoose, bear Stripe's processing fees. We may change the Platform Fee or introduce new fees on prior notice; your continued use after a change takes effect means you accept it.
Payouts. Stripe pays out your proceeds to your bank account on Stripe's schedule. You manage your balance and payouts through the Stripe Express dashboard.
Refunds and chargebacks. As merchant of record, you are responsible for refunds, chargebacks, disputes, and any related fees. You decide whether to refund; FlowMoose records each refund and dispute but does not issue or contest them for you. Stripe's processing fee is generally not returned on a refund. FlowMoose returns its Platform Fee in proportion to any refund you issue, automatically and without a request from you. The Platform Fee is not returned on a chargeback.
What a full refund or a lost dispute does. Refunding a charge in full, or losing a chargeback, automatically claws back what that purchase bought: the purchase's not-yet-used sessions are revoked, any upcoming bookings holding them are cancelled, and any unredeemed FlowCode from that purchase is voided and can no longer be redeemed. FlowMoose emails the affected Customers on your behalf. A partial refund revokes nothing. Take this into account before you refund in full — the Customer loses the sessions and the bookings along with the money.
Negative balances. You are responsible for any negative balance on your Connected Account. Stripe may recover a negative balance from your current or future balances and payouts or from your linked bank account, and may hold reserves against it. Because of how the platform is configured, Stripe — not FlowMoose — bears the risk of loss on a negative balance that Stripe cannot recover from you. That allocation is between FlowMoose and Stripe; it does not reduce what you owe Stripe under the Stripe Connected Account Agreement, and you still agree to reimburse FlowMoose for any amount FlowMoose does in fact pay on your behalf. This obligation survives termination.
Risk review by Stripe. Stripe screens Connected Accounts at onboarding and monitors them on an ongoing basis. Stripe may request additional information about you or your business, hold a reserve, slow or pause your payouts, pause your ability to accept payments, or close your Connected Account. Those are Stripe's decisions under your agreement with Stripe. FlowMoose does not make them and cannot reverse them, though we will help you reach Stripe about them. Respond promptly to any request Stripe sends you — unanswered requests are a common cause of paused payouts.
6. Sessions, pricing, and expiration
You control your offerings. You set your products and their descriptions, prices and bundles, when they are available — open hours, or the schedules described in Section 7 — and the validity period, and you are responsible for keeping them accurate. Each product belongs to one location, and the sessions it sells are valid only at that location.
Expiration. You set the validity period for each product's sessions and FlowCodes, which may be a fixed number of days (up to 5,000) or no expiration at all — a session with no expiration never expires. The clock starts at purchase, not at redemption: a gift's validity runs from the moment the gift is bought, so a gift can expire before the recipient ever opens it. The recipient is shown the expiration date. A session held for a booking that is later cancelled gets back the time it spent held, so booking never shortens a session's validity, and a return code carries the remaining validity of the sessions behind it. Expired sessions and expired FlowCodes cannot be used or redeemed. You are solely responsible for ensuring that your pricing, expiration, fees, and redemption practices comply with all applicable laws, including gift card, gift certificate, stored-value, and unclaimed-property (escheat) laws; our session expiration guide is general background. FlowMoose gives you the ability to set or remove expiration but does not provide legal advice and is not responsible for your choices.
Complimentary codes. You can issue FlowCodes at no charge from the dashboard — a number of sessions of one of your products, redeemable by whoever holds the code — for example as a courtesy, a make-good, or to fill a slot. No payment is made and no Platform Fee is charged. A complimentary code, and the sessions it redeems into, expire on that product's schedule, with the clock starting when you issue the code. You can withdraw a complimentary code at any time: an unredeemed code simply stops working, and withdrawing a redeemed one takes back the Customer's unused sessions from it and cancels any upcoming bookings holding them — where a booking is cancelled, FlowMoose emails the affected Customers on your behalf. Sessions already used stay used, and a code whose sessions have all been used or have expired has nothing left to withdraw. Issuing a complimentary code is your decision and your responsibility, including under any laws that apply to promotions, gift certificates, or stored value.
Honoring sessions. You must honor all valid sessions and FlowCodes your Customers purchase or redeem — except sessions and codes revoked by a full refund or a lost dispute (Section 5), and complimentary sessions and codes you withdraw as described above — and provide the services they paid for, consistent with your representations and applicable law.
If you leave. If you stop using FlowMoose, close your business, or your account is terminated, you remain responsible for honoring or refunding all outstanding (unredeemed and unexpired) sessions and FlowCodes your Customers hold. FlowMoose is not the seller and is not responsible for honoring or refunding your Customers' sessions.
7. Schedules, bookings, and check-in
Schedules and slots. A schedule publishes bookable times for one of your products. You create a schedule as a draft and activate it when it is ready; activating it replaces that product's open hours, so from then on Customers book the product into slots instead of arriving whenever they like. You set each slot's length and capacity, and you can add one-off slots, change a day, or close a day. A Customer books a slot by committing one of their sessions per spot — a party is several spots on one slot — using sessions they already hold or sessions they buy as part of booking.
Your booking rules. For each schedule you set when booking closes, when check-in opens and closes, and how much notice a Customer must give to cancel without losing the session. Those settings decide what your Customers can do. A booking's free-cancellation deadline is fixed when the booking is made, so editing the schedule later never moves the deadline on a booking that already exists. You are responsible for the rules you set and for disclosing them to your Customers, including rules that cause a Customer to lose the value of a session.
Late cancellations and no-shows. A Customer who cancels before the deadline gets the same session back, with the time it spent held added to its expiration. A Customer who cancels after the deadline loses that session, and a session committed to a booking is spent when the slot ends whether or not anyone checked in. In both cases the sale stands and you keep the revenue; FlowMoose does not refund a missed booking, and any refund is yours to decide under Section 5. A Customer may also move a booking to another slot, which counts as cancelling and rebooking — the same deadline applies, and the session must still be valid at the new time.
Honoring bookings. You must honor the bookings your schedules accept and deliver the sessions at the times you published.
Cancelling slots. You can cancel slots you have published. When you do, each affected Customer's session goes back to them with the time it spent held, and FlowMoose emails those Customers on your behalf to tell them their booking was cancelled. Slots someone has already checked in to, and slots that have already ended, are left as they are. Cancelling a slot returns the session but does not refund the purchase — refunds remain yours to decide under Section 5.
Check-in. Customers check in by scanning your facility's QR code, or your team can mark them in from the dashboard or a front-desk device. Marking attendance is optional: it never changes whether a session is spent, and FlowMoose does not treat an unmarked Customer as a no-show. Before a Customer checks in, the slot's roster shows their name and email address to your team and to your front-desk devices (Section 3).
8. Taxes and tax reporting
Your taxes. You are responsible for determining, collecting, reporting, and remitting all taxes arising from your sales, including any sales or use tax, as well as your own income taxes. Because you are the merchant of record, sales-tax obligations are yours.
How FlowMoose handles sales tax. You enter a state rate and a local rate for each of your locations. FlowMoose applies the rates you entered to every sale at that location, shows the tax to the Customer at checkout, adds it to the charge on your Connected Account, and reports what was collected — with refunds and chargebacks broken out — in your dashboard's sales-tax report. FlowMoose charges whatever rates you enter; it does not determine or verify them and it files nothing for you. Keeping the rates correct and current, and reporting and remitting the tax, are yours. The Platform Fee is calculated on the pre-tax subtotal, so you are not charged a Platform Fee on the tax you collect.
Form 1099-K. Because of how the FlowMoose platform is configured with Stripe, Stripe — not FlowMoose — prepares, files, and delivers IRS Form 1099-K reporting your gross transaction volume where federal or state thresholds require it. Stripe delivers it through the Stripe Express dashboard and to the contact details on your Connected Account. You must provide accurate, current taxpayer information (such as a Form W-9 and taxpayer identification number) to Stripe when requested; failure to do so may result in backup withholding or paused payouts. A 1099-K does not relieve you of your obligation to report and pay your own taxes. Nothing in these Terms is tax or legal advice — consult your own advisor.
9. Your obligations and acceptable use
- Comply with law. Operate your business and sell sessions in compliance with all applicable laws, including consumer protection, advertising, and accessibility laws.
- Permitted businesses. Your business and the sessions you sell must comply with Stripe's list of restricted businesses (incorporated here by reference) and any additional FlowMoose restrictions. No illegal, deceptive, or prohibited activity.
- Safe premises. You are solely responsible for your facilities, your staff, and the safety and conduct of activities at your locations.
- Don't misuse the platform. Do not attempt to breach security, scrape, reverse engineer, overload, or disrupt the Services; circumvent fees, QR verification, or the campaign footer and unsubscribe controls described in Section 4; create fraudulent transactions; or use the Services to violate anyone's rights.
- Keep information accurate. Maintain accurate, current business, facility, and tax information.
10. Intellectual property
FlowMoose and its licensors own the Services, the underlying software, and the FlowMoose name, logo, and other marks. We grant you only the limited license in Section 3; all other rights are reserved. You may not use our marks without our prior written permission. If you give us feedback or suggestions, we may use them without restriction or obligation to you.
11. Service availability and disclaimers
We work to keep the Services available and reliable, but they are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Services will be uninterrupted, timely, secure, or error-free. We do not provide a service-level or uptime commitment, and we may modify, suspend, or discontinue features. We are not responsible for the acts or omissions of Stripe, Amazon Web Services (which hosts the Services and, through Amazon SES, delivers the email we send on your behalf), Google, your Customers, or other third parties.
12. Indemnification
You will defend, indemnify, and hold harmless FlowMoose and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your business, sessions, and services; your honoring or refusal of sessions and refunds; the complimentary codes you issue or withdraw; disputes with your Customers; your Operator Content; your taxes; your handling of Customer data; the condition of or activities at your facilities; or your violation of these Terms or applicable law.
13. Limitation of liability
To the fullest extent permitted by law, FlowMoose will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or related to the Services or these Terms, even if advised of the possibility.
FlowMoose's total liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the total Platform Fees you paid to FlowMoose in the 12 months before the event giving rise to the claim, or (b) US $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing in these Terms limits liability that cannot be limited by law.
14. Term, suspension, and termination
These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access — with or without notice — for breach of these Terms, legal or risk reasons, non-payment, problems with your Stripe account, or for convenience on reasonable notice.
Closing an account or a business. A team member can delete their own account in the dashboard, unless they are the only owner of a business — transfer ownership to another owner first, or the deletion is refused. A business can be deleted from the dashboard only while every one of its locations and products is still a draft and no Stripe account is connected; a business that has gone live cannot be deleted by you, so email us at legal@flowmoose.com. Closing an account or a business does not end obligations you have already taken on to your Customers.
On termination, your license ends, but you remain responsible for honoring or refunding outstanding sessions and FlowCodes (Section 6) and the bookings your schedules have accepted (Section 7), any negative balance or reimbursement owed (Section 5), and other accrued obligations. Sections that by their nature should survive — including payment obligations, indemnification, disclaimers, limitations of liability, and dispute resolution — survive termination. We handle your data after termination as described in the Privacy Policy.
15. Changes to the Services and these Terms
We may update the Services and these Terms from time to time. When we make material changes, we will revise the "Effective date" above and provide reasonable notice (for example, by email or in the dashboard). We ask Operators to accept revised Terms in the dashboard, and your continued use of the Services after the changes take effect means you accept them. If you do not agree, stop using the Services.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Services, and you and FlowMoose consent to personal jurisdiction there.
To the fullest extent permitted by law, you and FlowMoose each waive any right to a jury trial and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative action. Either party may seek injunctive or equitable relief in court to protect its intellectual property, confidential information, or to address unauthorized use of the Services.
17. General
These Terms, together with the policies and agreements referenced here (including the Privacy Policy and your Stripe agreements), are the entire agreement between you and FlowMoose regarding the Services. You may not assign these Terms without our prior written consent; we may assign them. The parties are independent contractors; these Terms create no agency, partnership, or joint venture. Neither party is liable for delays or failures caused by events beyond its reasonable control. If any provision is unenforceable, the rest remains in effect, and our failure to enforce a provision is not a waiver.
